Software licence agreement

Antonio Jacquaye, trading as LatticeSearch, supplies LatticeSearch. The trading address is 83 Lynton Mead, London N20 8DH, United Kingdom. The contact route we invite is email: support@latticesearch.app.

What this licence covers

This agreement covers the downloadable LatticeSearch software. The terms of sale cover ordering and billing. The privacy policy explains personal data. The cancellation and refund policy explains cancellation and remedies.

During a paid subscription, you may install and use the software on devices you own or are authorised to manage, within the purchased allowance. Pro covers up to 3 devices. Weave is sold per licensed seat. A business customer must ensure that the person ordering is authorised to agree for the business.

Your files and local index remain yours. Ownership of LatticeSearch and its intellectual property does not transfer to you. Third-party components remain subject to their own licences.

Compatibility and essential functions

ItemRequirement or behaviour
Windows buildWindows 10 or later on an x64-compatible computer.
HardwareNo NPU is required. Supported work has a CPU path. A compatible GPU may speed up supported indexing. At least 8 GB of RAM is recommended for meaning search; below that, meaning search is not selected by default and may be slow.
StorageMeaning search downloads about 2 GB. The local index grows with the sources you index. A tested minimum free-space figure for the base app and a usable index has not yet been fixed, so checkout will remain closed until it is published.
InternetCore local indexing and search work offline. Activation, deactivation and periodic paid-licence checks need internet access.
Offline graceAfter a successful licence check, paid features work for up to 10 days without another successful check. They then fall back to Free until entitlement is confirmed.

The exact compatibility and functionality table for the build offered will be shown before payment and repeated in the order confirmation email. Exact supported versions and architectures will also be given before any macOS or Linux build is offered.

Keys, devices and privacy

A key is bound to a hashed machine fingerprint when activated. Copying it does not authorise another device. Deactivation releases a device but does not cancel the subscription. If a failed or replaced device prevents deactivation, email support.

Activation and deactivation send the key and fingerprint. Licence and release checks also send the installed version, edition and operating-system platform. They do not send search content. The privacy policy gives the exact fields, purposes, providers and retention periods.

What you must not do

Keep the key secure. Do not publish, resell or share it outside the purchased allowance. Do not bypass activation, revocation or seat limits. Do not copy, modify, reverse engineer or distribute the software except where this agreement, another applicable licence or the law allows it. These terms do not restrict a right that the law says cannot be restricted, including protected interoperability rights.

Subscription term and cancellation

Paid licences are monthly or annual subscriptions. When checkout reopens, the checkout, Stripe customer portal and renewal reminder will show the exact renewal timestamp and time zone. Every purchaser will receive a tested portal link and will be able to cancel there in one clear online step without contacting support.

You may also email support@latticesearch.app. A clear email instructing us to stop renewal is effective as a cancellation request; we will confirm the end date in writing. If it reaches our support inbox before the displayed renewal time, it stops that renewal. We will use the time the email reaches the inbox, not the time a member of staff processes it. Uninstalling or deactivating a device does not stop billing.

Ordinary cancellation stops future renewals. Paid access continues to the end of the paid period, subject to statutory rights and the narrow revocation grounds below. At the end of entitlement, paid features return to Free. Cancellation does not upload or delete your files or local index.

Suspension and revocation

When checkout reopens, licence enforcement will permit us to end paid access early only after a refund, a chargeback, fraud, or a demonstrable material breach of this licence. Each restriction will have a recorded reason. Where practicable, we will first email the reason and the steps to put matters right. Suspected misuse alone is not enough.

You may make representations, contest a restriction and ask for meaningful human intervention by email. A person will examine the information, can reverse the restriction and will explain the result. If a restriction was made in error, we will reinstate access promptly. If contracted access was wrongly withheld, we will provide the refund or price reduction required by law. The full 10-day offline grace period will be preserved independently of licence-server availability; a server outage will not shorten it.

Consumer rights

A consumer buying at a distance normally has 14 days, starting the day after the contract is made, to cancel without giving a reason. Immediate digital supply during that period requires a separate express request and an acknowledgement that the cancellation right will be lost once supply begins. Reading this licence, paying or installing is not enough. The cancellation and refund policy explains how to cancel.

Rights under the Consumer Rights Act 2015 remain unchanged. Digital content must meet applicable standards of quality, fitness and description. Remedies can include repair or replacement and, where the law provides, a price reduction or refund. Ordinary mid-term cancellation does not receive a pro-rata refund unless the law requires one.

Care of your files

Keep independent backups of important files. Review a file action before approving it. We do not promise identical speed or results on every computer or source, but that does not reduce any statutory right or remedy.

Complaints and law

Email support@latticesearch.app with your purchase reference, what went wrong and the outcome you want. Do not include card details or search files. We will investigate, explain the result and tell you if we need more information. You may ask for a review and a final written response.

The contract is governed by the law of England and Wales. Businesses agree to the courts of England and Wales. For consumers, this does not remove mandatory rights in the country where they live or any court right available under applicable law. Nothing in this agreement excludes a right or liability that the law does not allow us to exclude.
